Terms of Service

These Terms are a binding agreement between you and [LEGAL_ENTITY_NAME] (“Exeluma”, “we”, “us”). By creating an account or using the service, you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
1. What Exeluma is
Exeluma is an execution operating system for entrepreneurs: structured frameworks, a workspace for planning and logging work, and AI-assisted accountability. It is software and educational content.
It is not a guarantee of business results. We do not promise that you will make money, validate an idea, or succeed at anything. Outcomes depend on your work, your market and factors outside anyone's control. Any figures shown anywhere on our site are illustrative, not projections.
2. Your account
- You must be at least 18 years old.
- Give accurate information and keep it current.
- You are responsible for activity under your account and for keeping your credentials secure. Tell us promptly at [support@exeluma.com] if you suspect unauthorised access.
- One account per person. Do not share logins.
3. Subscriptions, billing and cancellation
- Pricing. $49/month billed monthly, or $39/month billed annually ($468 per year). Prices are in US dollars and exclude tax.
- Taxes. Sales tax, GST/HST/QST or VAT is added where applicable based on your location.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period until you cancel.
- Cancelling. You can cancel at any time from your account settings. Cancellation stops the next renewal; you keep access until the end of the period you have already paid for.
- Refunds. We offer a 14-day money-back guarantee — see the Refund Policy.
- Price changes. We will give at least 30 days' notice by email before any price change affects you. Continuing after that is acceptance; if you disagree, cancel before it takes effect.
- Failed payments. If a payment fails we may retry and may suspend access until it resolves.
4. Acceptable use
Do not:
- Break the law, or use Exeluma to help anyone else do so.
- Resell, sublicense, or redistribute our frameworks, protocols or content.
- Share your account, or scrape/bulk-download our content.
- Reverse engineer the service, or try to bypass rate limits, authentication or other technical controls.
- Use the AI features to generate unlawful, harassing, deceptive or harmful content — including spam that violates CAN-SPAM or CASL.
- Upload malware, or attack the availability of the service.
We may suspend or terminate accounts that breach this section. Where reasonable we will warn you first.
5. AI features — important limitations
Exeluma's coaching, plans and reviews are produced by large language models. You must understand three things:
- Output can be wrong. AI generates plausible text, which is not the same as correct text. Verify anything that matters before acting.
- It is not professional advice. Nothing the AI produces is legal, financial, tax, accounting, medical or mental-health advice. Consult a qualified professional for those.
- Your content is sent to third-party providers (OpenAI and Google) to generate responses. See the Privacy Policy.
Exeluma is a productivity tool, not a therapist. If you are struggling with your mental health, please contact a licensed professional or a crisis line in your country.
We apply usage limits to AI features to keep the service available and costs sustainable. We may adjust these limits.
6. Your content
You own everything you create in Exeluma — your goals, plans, notes and reflections. We claim no ownership of it.
You grant us a limited licence to store, process and transmit your content solely to operate the service for you (including sending it to AI providers to generate your results). That licence ends when you delete the content or your account.
You are responsible for your content being lawful and for having the right to submit it.
7. Our content
The Exeluma software, frameworks, protocols, written content, design and brand are owned by [LEGAL_ENTITY_NAME] and protected by intellectual property law. Your subscription grants a personal, non-exclusive, non-transferable, revocable licence to use them for your own business. It does not let you republish, resell or teach them as your own.
8. Third-party services
Exeluma integrates with services such as Stripe, Google and others. Your use of those is governed by their terms, and we are not responsible for them.
9. Availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, change or discontinue features. If we discontinue the service entirely, we will give you reasonable notice and a way to export your data.
10. Disclaimers
Except where the law does not allow it, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free or that AI output will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, [LEGAL_ENTITY_NAME] is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the service.
Our total liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions — including for consumers in Quebec and in the EU/UK — so parts of this section may not apply to you. Nothing here limits liability for fraud, gross negligence, or death or personal injury caused by negligence.
12. Indemnity
You agree to indemnify [LEGAL_ENTITY_NAME] against claims arising from your content, your use of the service, or your breach of these Terms.
13. Termination
You may stop using Exeluma and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, or if required by law. On termination your licence ends; you can export your data before deleting your account, and afterwards we handle deletion as described in the Privacy Policy.
14. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in-product. Continuing to use Exeluma after that means you accept the new version.
15. Governing law and disputes
These Terms are governed by the laws of [STATE/PROVINCE, COUNTRY], without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of [COURTS / VENUE].
If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence, and it does not prevent you from bringing proceedings in your local courts where the law gives you that right.
Before filing anything, please email us — most things are solvable directly.
16. General
- If a provision is unenforceable, the rest stays in force.
- Our failure to enforce a right is not a waiver of it.
- You may not assign these Terms; we may assign them in a merger or sale of the business.
- These Terms, plus the Privacy and Refund policies, are the entire agreement between us.
